Please read these Terms and Conditions (“Terms”, “Terms and Conditions”) carefully before using the olatunjidavid.com website (the “Service”) operated by Olatunji David (“us”, “we”, or “our”).
Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who access or use the Service.
By accessing or using the Service you agree to be bound by these Terms. If you disagree with any part of the terms then you may not access the Service.
1. Services
Olatunji David provides WordPress development, Elementor optimization, WordPress SEO services, conversion rate optimization, GoHighLevel funnel building, Figma to WordPress conversion, and AI automation services.
All services are provided on a project basis or monthly retainer basis as outlined in individual service agreements or proposals.
2. Project Scope & Deliverables
2.1 Proposals and Quotes All projects begin with a detailed proposal or quote outlining the scope of work, deliverables, timeline, and pricing. The proposal becomes binding once accepted by the client and initial payment is received.
2.2 Scope Changes Any changes to the agreed scope of work must be requested in writing and may result in adjusted pricing and timeline. Additional work outside the original scope will be quoted separately.
2.3 Client Responsibilities Clients are responsible for providing:
- Timely feedback and approvals
- Access to necessary accounts (WordPress, hosting, domain, CRM, etc.)
- Required content, images, branding materials, and design assets
- Clear communication regarding project requirements and expectations
Delays in providing required materials may result in project timeline extensions.
3. Payment Terms
3.1 Project-Based Work
- 50% deposit required before work begins
- Remaining 50% due upon project completion and before final delivery
- Payment is due within 7 days of invoice
3.2 Monthly Retainer Work
- Payment due at the beginning of each month
- Retainer hours do not roll over to the following month unless otherwise agreed
3.3 Accepted Payment Methods We accept payment via bank transfer, PayPal, Stripe, and other methods as agreed upon in writing.
3.4 Late Payment Late payments may result in:
- Project delays or suspension of work
- Late fees of 5% per month on overdue balances
- Removal of website access until payment is received
3.5 Refunds Deposits are non-refundable once work has commenced. Refunds for completed work are evaluated on a case-by-case basis.
4. Intellectual Property
4.1 Client Ownership Upon full payment, the client owns all deliverables including website designs, code, and content created specifically for the project.
4.2 Pre-Existing Materials We retain ownership of pre-existing code, frameworks, tools, and methodologies used in the project. Clients receive a license to use these materials as part of their delivered project.
4.3 Third-Party Assets Any third-party assets (plugins, themes, stock images, fonts) used in the project are subject to their respective licenses. Clients are responsible for obtaining and maintaining necessary licenses.
4.4 Portfolio Rights We reserve the right to display completed projects in our portfolio, case studies, and marketing materials unless a non-disclosure agreement (NDA) is in place.
5. Warranties & Limitations
5.1 Service Warranty We warrant that services will be performed in a professional and workmanlike manner consistent with industry standards.
5.2 Website Functionality We guarantee that delivered websites will function as described in the project scope at the time of delivery. Post-delivery issues caused by third-party updates, hosting changes, or client modifications are not covered under warranty.
5.3 SEO Results While we follow industry best practices for SEO, we cannot guarantee specific rankings, traffic levels, or conversion rates. Search engine algorithms change frequently and results depend on many factors outside our control.
5.4 Third-Party Services We are not responsible for issues caused by third-party services, plugins, hosting providers, or platforms (WordPress.org, GoHighLevel, Elementor, etc.).
5.5 Limitation of Liability Our total liability for any claim arising from our services shall not exceed the total amount paid by the client for the specific project or service in question.
6. Support & Maintenance
6.1 Post-Launch Support All projects include 30 days of post-launch support for bugs and issues directly related to our work. This does not include:
- Training or general WordPress support
- Content updates or modifications
- New feature requests
- Issues caused by third-party updates or client changes
6.2 Ongoing Maintenance Ongoing support, maintenance, and updates are available through monthly retainer agreements.
7. Confidentiality
We agree to keep all client information, business plans, strategies, and proprietary data confidential. We will not share client information with third parties except as necessary to complete the project (e.g., hosting providers, payment processors).
Clients agree to keep our pricing, methodologies, and proprietary processes confidential.
8. Termination
8.1 Termination by Client Clients may terminate services with 14 days’ written notice. Upon termination:
- All outstanding invoices become immediately due
- Deposits are non-refundable
- Completed work will be delivered upon full payment
- In-progress work may be delivered in its current state
8.2 Termination by Us We reserve the right to terminate services if:
- Client fails to pay invoices within 30 days
- Client breaches these Terms
- Client engages in abusive, threatening, or unprofessional behavior
- Client requests illegal or unethical work
9. Disclaimer
The Service is provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
We do not warrant that:
- The Service will function uninterrupted or error-free
- Defects will be corrected immediately
- The Service or server is free of viruses or harmful components
10. Indemnification
You agree to indemnify and hold harmless Olatunji David from any claims, losses, damages, liabilities, and expenses (including legal fees) arising from:
- Your use of the Service
- Your breach of these Terms
- Content you provide for use in projects
- Your violation of any third-party rights
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Nigeria, without regard to its conflict of law provisions.
12. Changes to Terms
We reserve the right to modify or replace these Terms at any time. Changes will be effective immediately upon posting to this page. Your continued use of the Service after changes constitutes acceptance of the revised Terms.
